We reserve the right to change pricing with 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.
You retain ownership of all data and business information you upload to the platform. You grant us a limited, non-exclusive licence to process that data solely to provide the Service to you.
All intellectual property rights in the Service, including software, design, trademarks, and documentation, are owned by or licensed to Complybase Technologies Limited. Nothing in these Terms transfers any intellectual property rights to you.
You may not use the Complybase360 name, logo, or trademarks without our prior written permission.
The Service integrates with third-party systems including KRA, NSSF, NHIF, and others. These integrations are provided as a convenience. We are not responsible for the availability, accuracy, or content of third-party systems, and any downtime or changes on the part of those systems may affect Service functionality.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY KENYAN LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
You agree to indemnify, defend, and hold harmless Complybase Technologies Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any applicable law or regulation.
Either party may terminate the account at any time. We may suspend or terminate your access immediately and without notice if we reasonably believe you have violated these Terms or applicable law.
Upon termination, your right to use the Service ceases. We will retain and may delete your data in accordance with our Privacy Policy and applicable legal requirements.
We may update these Terms from time to time. When we make material changes, we will notify registered users by email at least 14 days before the new Terms take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of Kenya. Any disputes arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Kenya sitting in Nairobi.
